1. Acceptance of Terms

By creating an account, accessing, or using the services provided by Cirqle Club (the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use our Service.

2. Definitions

• "Administrator" refers to a user who creates and/or manages a Community on the platform.
• "Member" refers to a user who joins a Community created by an Administrator.
• "User" refers to any visitor, Member, or Administrator of the Service.
• "Community" refers to the private group managed by an Administrator through our Service.
• "User Content" refers to all data, information, and materials provided or created by an Administrator in connection with their Community, including but not limited to Community descriptions, member lists, and pricing.

3. Description of Service

Cirqle Club is a platform that enables Administrators to manage communities based on third-party platforms like Discord and Slack. Our Service includes tools for managing memberships, processing payments, controlling user access, and other related administrative functions.

4. User Accounts and Registration

• Account Creation You must provide accurate, current, and complete information when creating an account. You must be at least 13 years old, or of the legal age required to form a binding contract in your jurisdiction, to use our Service.
• Account Responsibilities You are solely responsible for all activities that occur under your account and for keeping your account password confidential. You must notify us immediately of any unauthorized use of your account.

5. Community Management (For Administrators)

• Responsibilities As an Administrator, you are responsible for managing your Community in compliance with all applicable laws and regulations, as well as the terms of service of any integrated third-party platforms (e.g., Discord, Slack).
• Community Guidelines You agree not to create or manage any Community that promotes illegal activities, hate speech, harassment, or violates the rights of others. We reserve the right to remove any Community that violates these Terms.
• Relationship with Members You are solely responsible for the relationship with your Members, including setting membership terms, pricing, providing any promised services, and handling any disputes or refund requests.

6. User Content and Ownership

• Your Ownership As an Administrator, you retain all ownership rights to your User Content.
• License to Us: By using our Service, you grant Cirqle Club a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute your User Content solely for the purpose of operating, providing, and improving the Service.
• Responsibility: You are solely responsible for your User Content and the consequences of posting or publishing it.

7. Memberships and Payments

• Role of Cirqle Club Cirqle Club acts as a technology platform and payment facilitator to help Administrators manage their Communities. We are not a party to any agreement between an Administrator and their Members.
• Payment Methods: We facilitate payments through third-party providers (e.g., Bank Transfer, PayPal, Cryptocurrency). Administrators are responsible for configuring and maintaining their payment accounts.
• Fees: Creating a community is free. We may charge a transaction fee on payments processed through the platform, which will be clearly disclosed to Administrators.
• Refunds: Refund policies are set and managed by each individual Community Administrator. Cirqle Club is not responsible for issuing refunds on behalf of Communities.

8. Prohibited Activities

You agree not to engage in any of the following prohibited activities:

• Using the Service for any illegal purpose or in violation of any local, state, national, or international law.
• Attempting to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Service.
• Distributing spam, malware, or other harmful content.
• Reverse engineering, decompiling, or otherwise attempting to discover the source code of the Service.
• Violating the intellectual property rights of others.

9. Intellectual Property

All rights, title, and interest in and to the Service (excluding User Content), including all associated intellectual property rights, are and will remain the exclusive property of Cirqle Club and its licensors.

10. Disclaimers and Limitation of Liability

• "As Is" Service The Service is provided on an "as is" and "as available" basis without any warranties of any kind. We do not guarantee that the service will be uninterrupted, secure, or error-free.
• Third-Party Dependencies We are not responsible for any disruptions, changes, or issues with third-party services, including integrated platforms (Discord, Slack) and payment processors.
• Limitation of Liability To the maximum extent permitted by law, Cirqle Club shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

11. Indemnification

You agree to defend, indemnify, and hold harmless Cirqle Club from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from your use of the Service or your violation of these Terms.

12. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice or liability, for any reason, including a breach of these Terms. Upon termination, your right to use the Service will immediately cease.

13. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
